INTRODUCTION
These Terms and Conditions (“Terms”) govern your access to and use of the Hashgreed platform (“Platform”), owned and operated by Vinekross Technology Limited, a company duly registered and regulated under the Securities and Exchange Commission (SEC) Nigeria’s Regulatory Incubation Cohort 001/2023.
By accessing or using Hashgreed, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not use the Platform.
1. DEFINITIONS
- Hashgreed:A regulated blockchain-based marketplace for asset tokenization and creative Web3 commerce.
- User:Any individual or entity who accesses or uses the Platform.
- Assets:Tokenized representations of real-world or digital assets listed on Hashgreed.
- Tokens:Digital representations or derivatives of real-world assets issued via smart contracts.
- Regulatory Incubation (RI): A compliance framework under which Hashgreed operates, as admitted by the SEC Nigeria in Cohort 001/2023.
2. REGULATORY STATUS
Hashgreed is a participant in the Regulatory Incubation Program of the Securities and Exchange Commission (SEC) Nigeria, Cohort 001/2023.
All products and services are subject to ongoing compliance monitoring by the SEC.
Regulatory status does not imply full licensing or approval, but denotes permitted operation under a controlled and developmental framework.
Users are advised that asset tokenization carries risks and should be approached with due diligence.
3. ELIGIBILITY
To use Hashgreed, you must:
Be at least 18 years old.
Have the legal capacity to enter into these Terms.
Not be a resident of a country or territory subject to sanctions by the Nigerian government or international bodies.
4. USER ACCOUNT
You must register to use certain features.
You agree to provide accurate information and maintain the confidentiality of your account credentials.
You are solely responsible for activities that occur under your account.
5. TOKENIZED ASSETS
All assets listed on Hashgreed are subject to verification and due diligence procedures.
Hashgreed does not guarantee the value, liquidity, or performance of any tokenized asset.
Users must conduct their own research (DYOR) before transacting.
6. FEES AND PAYMENTS
Hashgreed may charge fees for transactions, listings, minting, or other services.
Fees are transparently disclosed and may be revised with prior notice.
7. RISKS
Participation in tokenized asset trading carries financial, regulatory, and technological risks.
Smart contract vulnerabilities, market volatility, and jurisdictional legal challenges may impact assets.
Hashgreed and Vinekross Technology Limited are not liable for losses except in cases of proven negligence or fraud.
8. INTELLECTUAL PROPERTY
All content, code, design elements, and trademarks on the Platform are the property of Hashgreed or its licensors.
Users may not reproduce or distribute content without express permission.
9. TERMINATION
Hashgreed reserves the right to suspend or terminate access for users violating these Terms or engaging in illegal activity.
Termination does not affect rights or obligations incurred prior to the date of termination.
10. PRIVACY
Hashgreed processes personal data in accordance with its Privacy Policy and applicable Nigerian Data Protection Laws.
Users agree to such data use when accessing the Platform.
11. COMPLIANCE AND DISCLOSURE
Users agree to comply with all applicable laws, including AML/CFT obligations.
Hashgreed may report suspicious activities to appropriate authorities.
12. GOVERNING LAW
These Terms shall be governed by the laws of the Federal Republic of Nigeria.
Disputes shall be subject to the exclusive jurisdiction of Nigerian courts or SEC-designated arbitration panels under the RI framework.
13. MODIFICATION OF TERMS
Hashgreed may amend these Terms from time to time. Users will be notified via email or platform alerts.
Continued use after changes constitutes acceptance of the revised Terms.

15. WALLETS, CUSTODY, AND SECURITY
15.1 Non-Custodial Wallet Infrastructure
The Hashgreed Platform utilizes non-custodial wallets based on Kross Blockchain technology. Wallets are created and managed by users, and Hashgreed does not store, access, or control users' private keys, seed phrases, or passwords.
15.2 User Responsibility
Users are solely responsible for:
Securing their wallet credentials, including seed phrases and private keys.
Backing up wallet credentials offline and in secure storage.
Avoiding loss due to browser cache clearing, device resets, or negligence.
Hashgreed does not store wallet seed phrases or passwords on its servers. All such data is stored locally on the user's device. The only credential stored on Hashgreed servers is the Transaction PIN, which is encrypted and used solely for authorizing transactions.
15.3 Loss and Recovery Protocol
If a user loses access to their wallet credentials:
They must register a new account with a new email.
They must complete KYC/AML verification again.
Smart assets may be frozen and re-issued to the new wallet.
Non-smart assets may be permanently lost and are non-recoverable.
Users may contact Hashgreed to initiate asset freezing and reissuance where applicable. Hashgreed reserves the right to act upon such requests at its discretion and in accordance with regulatory obligations.
15.4 Potential Custodial Services
Hashgreed may offer optional custodial wallet services in the future, subject to SEC Nigeria’s approval. These services will be governed by separate terms and may include enhanced protections.
15.5 Best Practices
Users are encouraged to:
Write down and securely store seed phrases offline.
Avoid public/shared devices when accessing wallets.
Use strong passwords and maintain device security.
Hashgreed is not liable for loss of funds due to user-side mismanagement or failure to follow best practices.
